Eversheds Sutherland advises Camplify on acquisition of PaulCamper

Eversheds Sutherland has advised Australian listed Camplify Holdings Limited on its acquisition of PaulCamper GmbH, operator of Germany’s leading peer to peer recreational vehicle rental marketplace. The transaction was successfully completed on 2 December 2022. The deal is an enterprise value of EUR 30 million (AUSD 47.6 million), with AUSD 1.8 million paid in cash and EUR 29.62 million paid in shares of Camplify. In connection with the transaction, Camplify has raised a total of AUSD 8.5 million from a placement with a further AUSD 2 million to be offered to shareholders via a share purchase plan.

Camplify already operates in Australia, New Zealand, Spain and the UK. The acquisition adds operations in Germany – Europe’s largest RV market – as well as in Austria and the Netherlands, doubling the size of Camplify’s business as measured by customers, fleet size, bookings and gross profit. As it expands its presence in Europe, this strategic acquisition transforms Camplify into a leading global player in the RV rental market.

Now with operations in seven countries, Camplify is one of Australia’s leading peer-to-peer digital marketplace platforms connecting RV owners to hirers. In total Camplify will now have over 22,000 RV’s listed for rental and an annual pro-forma GTV of over AUSD 111 million for the financial year 2022.

Founded in Berlin in 2013, PaulCamper has a fleet of more than 12,500 RVs in Germany, Austria and the Netherlands.
