The Eversheds Sutherland team, led by Partner Antti Husa, acted as the legal advisor to Linkity Oy and its shareholders in a transaction that strengthened the company’s ownership structure through growth financing from family-owned investment company Hartwall Capital. As a result of the transaction, Hartwall Capital becomes a significant shareholder in the company.
Linkity Oy is a Finnish SaaS company offering a comprehensive solution for automating HR’s most critical and complex processes—from shift planning and time tracking to collective agreement (TES) interpretations and payroll processing. Our long-term client, Linkity Oy, has been growing at an annual rate of over 50% in recent years, and Hartwall Capital’s growth financing will further accelerate this expansion.
Comments on the Transaction
Antti-Pekka Vepsäläinen, Co-founder and CEO of Linkity Oy:
"Our long-standing collaboration with Eversheds Sutherland enabled highly smooth and dynamic process management. Their team’s strong experience and deep understanding of the unique characteristics of the SaaS business played a key role in efficiently executing the transaction alongside other advisors."
Antti Husa, Partner at Eversheds Sutherland:
"It has been a pleasure to follow Linkity’s business development as an advisor for several years. The collaboration during this transaction was intense but always conducted with mutual respect among all parties involved. I believe that Linkity’s shareholders have gained an excellent ownership partner in Hartwall Capital, and with the agreed growth financing, the company is well-positioned to take its organization to the next level while continuing to expand and develop its industry-leading product."
The transaction team, in addition to Antti, included Senior Associates Linda Stenroth, Lavinia Husa, and Petra Snäll, as well as Specialist Counsel Tiina Koivisto.
