Advising the Chinese Yankuang Energy Group Company on the acquisition of a majority stakeEversheds Sutherland working together with King & Wood Mallesons (China)March 12, 2024 SMT Scharf Group AG has announced that its core shareholders, Shareholder Value Beteiligungen AG, Share Value Stiftung and Shareholder Value Management AG, have informed it that the core shareholders and other shareholders have entered into binding agreements with Yankuang Group (Energy) Company Limited, based in Shandong Province, China, on 1 March 2024 for the acquisition of a total interest of around 52.66 % in SMT Scharf Group by Yankuang Energy Group Company Limited. The closing of the agreements is still subject to the fulfilment of customary closing conditions, in particular the conclusion of the public investment control procedure in Germany and the granting of official approvals in China and other jurisdictions. Yankuang Energy Group Company Limited is based on the industries of mining, high-end chemicals and new materials, new energy, high-end equipment manufacturing and intelligent logistics. It is a large Chinese energy company listed on four major stock exchanges in China and beyond (Shanghai, Hong Kong, New York, Australia). At the same time, SMT Scharf AG announces that it intends to apply for admission of the shares of SMT Scharf AG to the regulated market of the Frankfurt Stock Exchange and to the sub-segment of the regulated market with additional post-admission obligations (Prime Standard) as soon as the agreements are finalised. This is a typical multi-jurisdictional complex transaction requiring legal advice in various countries, including Germany, China, Poland, South Africa, Canada, Chile and Russia.
