Eversheds acted as legal advisor to Digitalist Group Oyj, a company listed on the main list of the Helsinki Stock Exchange, in restructuring the terms of convertible bonds held by its two largest shareholders and principal financiers, Turret Oy Ab and Holdix Oy Ab.
The assignment covered eight separate convertible bond instruments issued between 2021 and 2025, each with its own capital amount, interest terms, and conversion mechanics.
Because both financiers were also among the company's principal owners, the process required particular attention to the governance requirements applicable to related-party transactions under the Finnish Companies Act, including board members with conflicts of interest recusing themselves from the relevant decisions. Our team supported Digitalist Group from the shareholders' resolution at the Annual General Meeting through to the signing of the final agreements.
On 30 June 2026, Digitalist Group signed agreements with Turret Oy Ab and Holdix Oy Ab confirming the amended terms, with a total capital amount of approximately EUR 27.7 million.
